Legal Advisory
- Provide (in coordination with the Group Legal Counsel) legal advice and support to the departments within the Company and Group
- Advise management on legal, regulatory, insurance and compliance matters affecting the Company’s operations and take care for adherence/fulfilment after having received alignment with the management and/or the Group Legal Counsel.
Contracts and Documentation
- Draft, review, negotiate and advise on commercial contracts, agreements, correspondence and other legal documents to safeguard the interests of the Company, taking into account internal guidelines.
- Review and analyse commercial transactions to identify and mitigate legal and regulatory risks.
- Ensure all legal documents are properly vetted, approved and executed in accordance with internal policies.
Regulatory Compliance and Governance
- Conduct legal research and stay abreast of applicable laws, regulations and regulatory developments.
- Ensure compliance with statutory requirements, corporate governance standards and internal policies.
- Ensures creation of the legally required documentation, for example in the areas of data protection and compliance. Anticipate regulatory changes and advise management on their impact on the Company’s business.
Corporate Secretarial Matters
- Assist in corporate secretarial matters, including preparation of Directors’ Circular Resolutions, board papers and corporate records.
- Support compliance with Companies Act requirements and liaise with company secretaries where necessary.
Licensing, Permits, and Approvals
- Handle, coordinate and assist in applications, renewals and compliance relating to permits, licences and other regulatory or project-related requirements.
- Liaise with relevant authorities and internal stakeholders to ensure timely approvals.
External Counsel and Stakeholder Management
- In coordination with General Legal Counsel of Naue Group, liaise with and manage external lawyers, consultants and advisors on legal, corporate and project-related matters.
Documentation and Record Management
Ensure proper filing, maintenance and management of legal documents and records.
Business and Operational Support
- Familiarise with all services, projects and business activities of the Company to provide effective legal support.
- Provide legal input for new projects, initiatives and business expansions when required.
General and Ad-hoc Duties
- Undertake ad-hoc legal and administrative tasks as assigned by the Managing Director and/or superior.
- Support the Group Legal department in day-to-day legal operations and departmental initiatives.
